Widowed and elderly industrialist Sulakshana Devi allows her business and estate to be taken care of by her nephew, Balwant. Shortly after her return from the overseas her only son, Ravi gets killed in a car accident planned by Balwant as he has an agenda of acquiring her estate and propriety. The news of Ravi's death devastates and leaves Sulakshana in a state of shock after which she recovers only to meet a pregnant woman named Kamini who claim that she is carrying Ravi's child. Sulakshana disbelieves this and asks Kamini to leave; after Kamini's departure one of Ravi's friend, Sanjay Gupta confirms the fact that Ravi and Kamini did have a relationship. Sulakshana then send her men to man-hunt for Kamini but to no avail. Several years later Suakshana is approached by a young woman named Seema who is claiming that she is Ravi's progeny only to be accepted by Sulakshana. But what Sulakshana does not know is that she will soon meet Seema's uncle who both plans to con her into blindly signing away all her property and estate in their name whiles on the other hand a male name Arun Kumar who is her new estate assistant and another fake who in reality is her real grandchild. Arun (Anil Kapoor) is a conman. Seema (Madhuri) & uncle (Anupam Kher) are also a pair of con artists. They cross paths when both try to swindle millionaire Tara Jaisingh who is known for medical charity work. they decide whoever gets 5 Lakhs from Tara first, wins. Arun appears before Tara as a paraplegic called Devdas. he gains Tara's sympathy & says that only Dr Khatpatia can treat him for 5 Lakhs. Tara offers to pay. He also sees Tara's aunt Sulakshana & decides that she will be his next target. Before Tara can pay, uncle arrives as DrKhatpatia & lures Tara into thinking the he will cure Devdas. By predicting Arun's moves uncle impresses Tara & gets her to pay up. Uncle and Seems escape but are captured by police at airport (supposedly on complain by Tara) & thrown into cell with Arun. They become friends, bribe the officer to buy their freedom. Uncle & Seema leave only to come back & realize that the station & police were only a set & Arun had duped them to get the money.
Arun then goes to work on Sulakshana by posing himself as an unemployed but spirited man. He finds about Ravi & Sulakshana's search for her grandchild. Arub gets Seema to get job as a music teacher in one of Sulakshana's charity schools & slowly proves that Seema is her lost grandchild using Ravi's stolen artifacts from the mansion. Uncle becomes the new butler in the mansion. Balwant is suspicious but Arun manipulates him to keep him out of the way. Seema claims that Kamini is dead. Balwant is angry at both Seema and Arun & decides to find Kamini.
Tara comes by visit her auntie & Arun convinces her that Shulakshana has gone mad & Dr Khatpatia & Jadibuti are there to help treat her. Then Arun & Seema fall in love & Sulakshana finds out. She agrees to get them married & even decides to split her estate 50-50 in both. Arun & Seema are ashamed at taking advantage of her simple soul. Meanwhile Balwant traces Kamini's maternity hospital & finds she had a boy. Then Balwant meets Tara & understands Arun & Seema are con artists.
Finally, Kamini meets the orphanage director & reveals that she put her boy in their crib & commits suicide only to be saved by Anand Babu who had lost her wife in childbirth to Seema. So, she stayed with Anand Babu & became a mum to Seema. The director reveals Arun is her real son.Seema had sent Kamini a photo of her fiance Arun, & so Seema heads to Chandipur to meet her son. Uncle finds that Balwant plans to Kill Shulakshana & then kill Arun & Seema. Arun replaces his bullets with blanks & then pretends to go along to expose Balwants true feelings for Shulakshana.
But then Arun & Seema admit their fraud & are prepared to go to jail after returning everything Sulakshana gave them. But then Kamini arrives & identifies Arun as her son.
